• Export documentation (CPP, CoA, Free Sale Certificates)
• Customs clearance and logistics coordination

• GDP-compliant cold chain distribution
• Product sourcing and quality assurance

2.2 Regulatory Support

Our regulatory services include CTD/ACTD dossier preparation, product registration, DMF preparation, and submission management. These services are provided based on specific agreements and scopes of work.

2.3 Custom Formulations

We offer CDMO services including formulation development, stability testing, and commercial manufacturing subject to technical feasibility and contractual agreements.

3. Use of Website

5. Orders and Contracts

5.2 Minimum Order Quantities

Minimum order quantities (MOQ) vary by product. We reserve the right to decline orders below specified MOQs or charge additional fees for small quantities.

5.3 Product Availability

We make reasonable efforts to fulfill orders but do not guarantee product availability. In case of stockouts or supply chain disruptions, we will notify you promptly and offer alternatives or refunds.

6. Pricing and Payment

6.1 Pricing

• All prices are quoted in USD unless otherwise specified
• Prices are subject to change based on market conditions
• Confirmed prices are locked upon order acceptance
• Additional charges may apply for expedited shipping, special packaging, or regulatory services

6.2 Payment Terms

Standard payment terms:

• New Clients: 50% advance + 50% before shipment (or 100% advance)
• Letter of Credit: Irrevocable LC at sight accepted
• Established Clients: Credit terms (30-60 days) subject to credit approval
• Payment Methods: Wire transfer (T/T), Letter of Credit

6.3 Late Payment

Late payments may incur interest charges at 2% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.

7. Shipping and Delivery

7.1 Delivery Terms

Delivery terms (FOB, CIF, CFR, etc.) will be specified in the quotation and purchase order. Unless otherwise agreed, delivery is FOB (Free On Board) from our facility.

7.2 Delivery Timelines

• Estimated delivery times are provided in good faith but are not guaranteed
• Delays due to customs, force majeure, or third-party logistics are beyond our control
• We will make reasonable efforts to notify you of significant delays

7.3 Risk of Loss

Risk of loss transfers to the buyer upon delivery to the carrier (FOB) or as specified in the agreed Incoterms.

7.4 Inspection and Claims

• Inspect shipments immediately upon receipt
• Report any discrepancies, damage, or defects within 7 days of delivery
• Claims for shortage or damage must be supported by photos and documentation
• Failure to report issues within the specified timeframe may void claims

8. Quality Assurance and Compliance

8.1 Quality Standards

All products are manufactured in WHO-GMP and PIC/S certified facilities and meet applicable pharmacopeial standards (USP, BP, EP, IP).

8.2 Certifications and Documentation

We provide:

• Certificate of Analysis (CoA) for each batch
• WHO-GMP Certificate
• Certificate of Pharmaceutical Product (COPP)
• Free Sale Certificate
• Stability data (upon request)

8.3 Regulatory Compliance

It is the buyer's responsibility to ensure products comply with regulations in the destination country. We provide regulatory support but do not guarantee approval by foreign regulatory authorities.

9. Returns and Refunds

9.1 Return Policy

Pharmaceutical products are generally non-returnable due to regulatory and safety requirements. Returns may be accepted only in the following cases:

• Products fail to meet agreed specifications
• Manufacturing defects are evident and documented
• Shipping errors or damage during transit (reported within 7 days)

9.2 Return Authorization

All returns require prior written authorization. Unauthorized returns will not be accepted.

9.3 Refund Processing

Approved refunds will be processed within 30 days of receiving returned goods. Refunds may be subject to restocking fees (up to 20%) and return shipping costs.

• Utility failures or internet/communication outages

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 Jurisdiction

Courts in Mumbai, India shall have exclusive jurisdiction over any disputes arising from these Terms.

15.3 Arbitration

Parties may agree to resolve disputes through arbitration under the Arbitration and Conciliation Act, 1996 (India). Arbitration shall be conducted in English in Mumbai, India.

16. Termination

We reserve the right to terminate or suspend your access to our website and services immediately, without prior notice, for:
